Additionally, Mr.Abdo, in his capacity of Vice Chairman of the Issuer, may in the future formulatea plan or make a proposal to the Issuer relating to any of the occurrences enumerated in (a) through (j) of Item4 of Schedule 13D as he may deem appropriate in light of circumstances existing from time to time.
